About These Terms

These Terms of Use ("Terms") govern your access to and use of the Olympus Pay merchant platform, dashboard, and related APIs (collectively, the "Services"), provided by Olympus Pay Proprietary Limited (Registration No. BW00009700756) ("Olympus Pay", "we", "us", or "our"). By creating a merchant account, accepting an invitation to join one, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Services.

Our Regulatory and Licensing Status

This is important, and we want it to be unambiguous rather than buried in fine print: Olympus Pay Proprietary Limited is an admitted member of the Bank of Botswana Regulatory Sandbox, operating as a Digital Bank under that framework. Sandbox admission is a supervised, time-limited testing status granted by the Bank of Botswana to permit innovative financial products to operate under regulatory oversight while a permanent licensing pathway is assessed — it is not the same as holding a full, unrestricted banking licence. While admitted to the Sandbox, Olympus Pay operates within the conditions, transaction limits, and reporting obligations set by the Bank of Botswana for that status. We will notify merchants of any material change to this regulatory status, including the outcome of the Sandbox period, exit from the Sandbox, or transition to a different licensing category. Card and mobile money settlement is processed through Flutterwave, a licensed payment service provider, with each merchant onboarded as a distinct sub-merchant beneath Olympus Pay's own Flutterwave account — Olympus Pay is the merchant of record on that platform, not the merchant itself.

Eligibility and Account Registration

  • You must be a legally registered business (or authorised to act on one’s behalf) to open a merchant account.
  • You must complete identity verification (KYC) and business verification (KYB), including beneficial-owner identity verification, before your account is approved to accept payments.
  • Information you provide during onboarding and thereafter must be accurate, current, and complete — you must promptly update it if it changes.
  • You are responsible for maintaining the confidentiality of your account credentials, API keys, and webhook signing secrets, and for all activity that occurs under them.

Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services to process payments for illegal goods or services, or in a jurisdiction where doing so would be unlawful.
  • Attempt to circumvent, disable, or interfere with any verification, fraud-prevention, or rate-limiting mechanism.
  • Share API keys or webhook signing secrets with unauthorised parties, or use another merchant’s credentials.
  • Misrepresent your business, products, or the amounts you charge customers.
  • Use the Services to launder money, finance terrorism, or evade sanctions.

Fees and Settlement

Fees are disclosed to you during onboarding and in your dashboard, and may vary by payment method, country, and tier. We may change our fees with at least 30 days’ notice, delivered to your registered email address or in-app. Settlement timing depends on the underlying payment method and processor and is not guaranteed to be instant. Olympus Pay is not liable for delays caused by a third-party processor, your settlement bank, or events outside our reasonable control.

API Access and Webhooks

If you generate an API key or register a webhook endpoint, you are responsible for keeping the underlying integration secure, including verifying webhook signatures before trusting their content and rotating credentials if you suspect they have been compromised. We may suspend an API key or webhook endpoint without notice if we reasonably believe it is being used in a way that risks the security or integrity of the Services or other merchants.

Suspension and Termination

We may suspend or terminate your access to the Services, in whole or in part, if you breach these Terms, if we are required to do so by a regulator or law enforcement authority, if we reasonably suspect fraud or financial crime, or if your Sandbox eligibility ends. Where reasonably possible, we will give you notice and an opportunity to respond first. You may close your merchant account at any time by contacting support, subject to settlement of any outstanding transactions or obligations.

Disclaimers and Limitation of Liability

The Services are provided "as is". To the fullest extent permitted under Botswana law, Olympus Pay disclaims all warranties, express or implied, regarding the Services, and is not liable for indirect, incidental, or consequential damages arising from your use of the Services, including loss of profits or business interruption, except where such liability cannot be excluded by law.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, regulatory status, or legal requirements. We will notify you of material changes by email or in-app notice before they take effect. Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of Botswana. Any dispute arising from these Terms or your use of the Services will be subject to the exclusive jurisdiction of the courts of Botswana, without prejudice to any right you may have to refer a complaint to the Bank of Botswana or another competent regulator.
